Maine Registered Agent Requirements

Every entity registered with the Maine Secretary of State appoints a registered agent: the person or company that accepts service of process, state notices, and official mail on the entity's behalf. Maine's rules for the role come from 5 M.R.S. ch. 6-A, the state's adoption of the Model Registered Agents Act, and this page walks through what they require in practice.

The Statute: 5 M.R.S. ch. 6-A (Maine's MRAA)

Maine folded the Model Registered Agents Act into Title 5, chapter 6-A of its statutes. Three sections do most of the work: § 102 supplies the definitions, § 105 governs how an entity appoints its agent, and § 108 covers a change of agent made by the entity. The LLC Act reaches the same rules through a cross-reference: 31 M.R.S. § 1531(1) requires the certificate of formation to include the agent information that § 105 describes.

Who Can Serve as a Registered Agent in Maine

The statute recognizes two kinds of agents:

• Commercial registered agents. An individual or entity that has filed a listing with the state under § 106. Commercial agents appear on filings by name and CRA public number.
• Noncommercial registered agents. Everyone else serving the role: an individual or an entity that acts as the company's agent for service of process, or the holder of a designated office or position within the entity.

In practical terms, an individual serving as agent should be over 18 with a physical Maine address, and a company serving as agent needs authorization to operate in Maine.

The Maine Address Rule

A noncommercial registered agent must be listed with a physical street address in Maine. The state's own forms spell it out: "physical street address, not P.O. Box." A mailbox rental or PO box alone doesn't satisfy the requirement, because the point of the role is that a process server can hand documents to a person at a real location during normal business hours.

Commercial registered agents handle the address differently: their Maine address stays on file with the state through their § 106 listing, so entity filings identify them by name and CRA number rather than repeating the address each time.

That address rule is why the agent must also keep normal business hours. An agent nobody can reach defeats the statute's purpose.

Who Needs a Registered Agent in Maine?

Most entities on file with the Maine Secretary of State maintain an agent, including:

• LLCs, domestic and foreign
• For-profit and nonprofit corporations
• Limited partnerships and limited liability partnerships
• Out-of-state entities registered to do business in Maine

One Maine quirk: for a domestic corporation, the statutes use the term "clerk" for this role. The function is the same, and "registered agent" remains the working term across the state's other entity types.

Can I Serve as My Own Registered Agent?

If you're an individual with a physical Maine street address, you can be listed as your company's noncommercial registered agent, and the statute also allows the holder of a designated office or position in the entity to fill the role. Whether that's wise is a different question.

Your agent address becomes public record. Process servers come to it during business hours, which means someone needs to be there during business hours, every business day. If you move, the state needs a new filing (and the $35 for-profit filing fee) to update the record. And if a lawsuit arrives while you're on vacation, the response deadline doesn't wait for you to get home.
